Pershing Square Holdings, Ltd. (LN:PSH) (LN:PSHD) (NA:PSH) announced today that it will pay a quarterly dividend of $0.1646 per public share for calendar year 2025 as per the following table.1 2

A pro rata quarterly dividend will be paid to the Special Voting Share, based on its net asset value.

Shareholders can automatically reinvest cash dividends into PSH public shares through the Dividend Reinvestment Program (DRIP), whereby shares are purchased on the open market by the DRIP administrator. Dividends will be paid in US dollars unless the shareholder elects to be paid in GBP. Shareholders electing GBP dividends must do so no later than the currency election deadline. Additional information

The payment of each dividend depends on the Company being satisfied that the following conditions have been met:

  • The Company will meet the solvency requirements under the Companies Act (Guernsey), immediately after the payment of the dividend;
  • the total indebtedness of the Company will be less than one third of the total capitalization of the Company after the payment of the relevant interim dividend.

The decision on whether PSH will pay dividends in the future will be made by the PSH Management Board with the approval of the Investment Manager. Although PSH intends to pay a quarterly dividend in the future, there is no assurance that PSH will continue to do so. The decision of the PSH board to pay the dividend should not be interpreted as meaning that PSH will be profitable in the future.

2 The Company’s policy is to pay quarterly dividends in the amount determined by multiplying the average PSH NAV of all trading days in December of the previous year by 0.25%, with the limitation that the total dividends paid for the year may not exceed 125% of the average of the total dividends paid in each of the previous three year. Once the dividend is determined for a particular year, the Company does not intend to reduce it from that level, even if the NAV decreases in a future year. The dividend limitation is used so that PSH does not make excessive distributions under the PFIC rules.
